INTELIZEN TERMS OF SERVICE AND PRIVACY POLICY

This Terms of Service and Privacy Policy (“Agreement”) governs your access to and use of the Intelizen websites and software applications, including www.intelizen.co and app.intelizen.co (collectively, the “Site” and “Platform”), owned and operated by Intelizen Inc. (“Intelizen,” “we,” “us,” or “our”).

By accessing or using the Site or Platform, you agree to be bound by this Agreement.

PART I – TERMS AND CONDITIONS

1. Nature of Service

Intelizen provides AI-powered contract intelligence, revenue cycle, and automation software services for enterprises.

2. Intellectual Property

All content, software, models, workflows, UI, text, logos, documents, and materials are the exclusive property of Intelizen Inc. and are protected by U.S. and international intellectual property laws. No license is granted except for limited use of the Platform under an executed agreement.

3. Accounts

You agree that:

1. You are responsible for maintaining the confidentiality of your credentials.
2. All information provided is accurate and current.
3. You will notify Intelizen immediately of any unauthorized access.

Intelizen may suspend or terminate access for violation of these Terms or any Master Services Agreement (“MSA”).

4. Third-Party Services

The Platform may integrate with or link to third-party services. Intelizen is not responsible for the content, security, or practices of third-party systems.

5. Payment, Cancellation, and Refund Policy

• All annual subscriptions and enterprise agreements are non-refundable.
• Cancellation of services is permitted only in accordance with the applicable Master Services Agreement (MSA).
• If a customer elects to terminate prior to the end of the contractual term:
  • No refunds shall be issued.
  • Intelizen may, at its discretion, continue to provide access through the end of the contracted term.
• Professional services, implementation fees, and usage-based fees are also non-refundable unless expressly stated in a signed agreement.

6. Limitation of Liability

To the maximum extent permitted by law, Intelizen shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business interruption.

7. Indemnification

You agree to indemnify and hold harmless Intelizen and its officers, directors, employees, and affiliates from any claims arising out of your use of the Platform or violation of this Agreement.

8. Governing Law

This Agreement is governed by the laws of the State of Alabama, without regard to conflict-of-law principles.

9. Changes

Intelizen may update these Terms from time to time. Continued use constitutes acceptance of revised terms.

PART II – PRIVACY POLICY

1. Scope

This Privacy Policy applies to data collected through www.intelizen.co and app.intelizen.co.

2. Data Collected
